We're looking for a Corporate Counsel to support our legal team on corporate governance, securities compliance, M&A transactions, and strategic business initiatives. This role is ideal for someone who enjoys working in a fast-paced, collaborative, and global environment.

This is a hybrid role position requiring 3-4 days per week in the office.

What You'll Do

Corporate Governance & Securities

  • Support the legal department in advising the Board of Directors, board committees, and senior management on corporate governance matters
  • Assist with preparation and review of SEC filings and related disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings
  • Support securities law compliance under the Securities Act of 1933, the Exchange Act of 1934, stock exchange rules, and related regulations

Mergers & Acquisitions / Corporate

  • Support domestic and cross-border M&A transactions from inception through closing
  • Assist with legal due diligence, transaction management, and integration planning
  • Draft, review, and negotiate transaction documents including NDAs, LOIs, purchase agreements, merger agreements, and ancillary agreements
  • Coordinate with outside counsel and internal stakeholders to manage transaction timelines and deliverables
  • Support corporate finance and strategic initiatives, including joint ventures and other growth projects

General Legal & Special Projects

  • Provide general corporate legal support across the business
  • Assist with special projects involving senior management and cross-functional teams
  • Support operational excellence initiatives within the legal department

What You'll Bring

Education

  • Juris Doctor from an ABA-accredited law school

Experience

  • 3-7 years of experience at a law firm and/or in-house legal department
  • Experience with M&A transactions and general corporate matters required

Knowledge

  • Exposure to securities law, public company reporting, or corporate governance preferred
  • Strong drafting, analytical, and organizational skills
  • Ability to manage multiple matters in a fast-paced, global environment
  • Strong communication skills and sound business judgment

Licensure & Certifications

  • Active membership in good standing with at least one U.S. state bar
