Job description

Investment Funds Associate Attorney

Direct Counsel is seeking an Investment Funds Associate Attorney to join a highly regarded Am Law 100 firm in Los Angeles, California.

This is an exceptional opportunity for an attorney with 4–8 years of investment funds experience to join a rapidly expanding Investment Funds practice representing sponsors and investment managers across a broad spectrum of alternative investment vehicles.

Key Responsibilities
  • Advise clients on the formation, structuring, and operation of private investment funds.

  • Draft and negotiate fund formation documents, partnership agreements, subscription materials, and related investment management documentation.

  • Counsel investment managers on regulatory, governance, and operational matters affecting investment funds.

  • Represent sponsors of private equity funds, hedge funds, private credit funds, real estate funds, hybrid funds, and other alternative investment vehicles.

  • Assist with matters involving retail alternative investment products, including business development companies (BDCs), interval funds, and closed-end funds.

  • Work closely with clients on fund launches, capital raising initiatives, and ongoing fund operations.

  • Collaborate with attorneys across tax, corporate, finance, and regulatory practices to provide comprehensive legal solutions.

  • Participate in business development initiatives and cultivate strong client relationships.

Qualifications
  • J.D. from an accredited law school with excellent academic credentials.

  • Active Bar membership in good standing.

  • 4–8 years of experience in investment management and private fund formation.

  • Experience representing private investment funds and investment managers is required.

  • Strong drafting, analytical, negotiation, and client counseling skills.

  • Entrepreneurial mindset with an interest in business development and direct client engagement.

  • Excellent written, verbal, and interpersonal communication abilities.

Compensation & Benefits
