Job description

Direct Counsel is representing a prestigious AmLaw firm seeking a midlevel Associate (3โ€“5 years) to join its sophisticated Investment Management & Private Funds practice in Boston.

Location: Boston, Massachusetts

This opportunity is ideal for an attorney with strong private funds experience looking to work on complex fund formation, structuring, and investment management matters within a highly regarded national platform.

Responsibilities
  • Advise clients on the formation and operation of private investment funds, including:
    • Hedge funds
    • Venture capital funds
    • Private equity funds
  • Structure and draft documentation for:
    • Upper-tier management entities
    • Bonus and carried interest plans
  • Handle sophisticated secondary transactions, including:
    • GP-led restructurings
    • Fund continuation vehicles
  • Assist institutional investors with:
    • Investments in private funds
    • Co-investment transactions
  • Advise clients on laws and regulations governing private funds and investment managers
Qualifications
  • 3โ€“5 years of large law firm experience in investment management/private funds
  • Strong experience with private fund formation and fund-related transactions
  • Familiarity with private fund structures and applicable regulatory frameworks
  • Excellent drafting, analytical, and communication skills
  • Active Massachusetts Bar membership required
Compensation

Expected salary range in Massachusetts: $225,000 โ€“ $435,000, depending on experience, qualifications, and market factors.
