Job description
Primary Mission: Own and administer the complete lifecycle of all government contracts, subcontracts, modifications, proposals, regulatory compliance, customer correspondence, and contractual risk while serving as F3EA's principal contracts advisor.
The Senior Contracts Manager serves as F3EA's principal contracts professional and is responsible for managing the complete lifecycle of the Company's federal government contracts, subcontracts, teaming agreements, and contractual business relationships. This position provides strategic leadership and expert guidance on contract administration, regulatory compliance, contract negotiations, proposal support, and contractual risk management while ensuring all contractual activities are executed in accordance with applicable Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), customer requirements, and company policies.
Working closely with Executive Leadership, Business Development, Finance, Program Management, Human Resources, and external customers, the Senior Contracts Manager serves as F3EA's primary advisor on contractual matters throughout the pre-award, award, execution, and closeout phases of the contract lifecycle. This position is responsible for protecting the Company's contractual interests, minimizing business risk, maintaining contractual compliance, and enabling profitable execution of federal contracts.
As the Company's senior contracts professional, this individual operates as a department of one, establishing and maintaining contract administration processes, developing standard operating procedures, supporting strategic growth initiatives, and building the foundation for a scalable Contracts Department capable of supporting F3EA's continued expansion within the federal marketplace.
- Serve as F3EA's principal contracts professional responsible for managing the complete lifecycle of all prime contracts, task orders, subcontracts, purchase agreements, teaming agreements, nondisclosure agreements, and other contractual instruments.
- Review, negotiate, administer, and close Government contracts while protecting the Company's contractual and financial interests.
- Maintain complete contract files and ensure all contractual documentation is current, accurate, and audit-ready.
- Develop standardized contract administration procedures that promote consistency and regulatory compliance across the organization.
- Review solicitations, Requests for Proposal (RFPs), Requests for Quote (RFQs), and Requests for Information (RFIs).
- Analyze solicitation requirements and identify contractual risks, compliance requirements, and proposal obligations.
- Develop proposal compliance matrices.
- Review Representations & Certifications.
- Coordinate contract review activities during proposal development.
- Support Business Development throughout capture and proposal efforts.
- Review contractual terms and conditions prior to proposal submission.
- Coordinate with Finance regarding pricing assumptions and contractual requirements.
- Participate in proposal color team reviews as the contracts representative.
- Lead contract negotiations with Government customers, prime contractors, subcontractors, and commercial partners.
- Negotiate contractual terms, modifications, funding actions, option exercises, and subcontract agreements.
- Coordinate legal review when necessary.
- Advise executive leadership regarding negotiation strategies and contractual risk.
- Administer all awarded contracts throughout the period of performance.
- Manage contract modifications, funding modifications, option periods, extensions, and administrative changes.
- Interpret contract clauses and advise management regarding contractual obligations.
- Track contractual milestones, deliverables, reporting requirements, and customer notifications.
- Ensure contractual correspondence is documented and maintained.
- Ensure contractual compliance with applicable FAR, DFARS, agency supplements, and customer requirements.
- Monitor contractual flow-down clauses for subcontractors.
- Maintain compliance with Small Business subcontracting requirements where applicable.
- Support DCAA and DCMA contract-related requests.
- Coordinate contract file readiness for Government reviews and audits.
- Draft and administer subcontract agreements.
- Prepare and negotiate Teaming Agreements.
- Prepare and negotiate Non-Disclosure Agreements.
- Develop Consultant Agreements.
- Manage subcontract modifications.
- Ensure proper incorporation of required flow-down clauses.
- Coordinate subcontract closeout activities.
- Identify contractual risks during proposal and execution phases.
- Evaluate Limitation of Cost (LOC) and Limitation of Funds (LOF) clauses.
- Assess contractual liability and indemnification provisions.
- Review intellectual property, data rights, export control, warranty, insurance, and termination clauses.
- Recommend mitigation strategies to executive leadership.
- Partner with Program Managers to ensure contractual requirements are fully understood and executed.
- Provide contract interpretation throughout contract performance.
- Review customer correspondence for contractual implications.
- Support contract performance reviews and program kickoff meetings.
- Assist Program Managers with contract funding status and modification impacts.
- Coordinate with the Controller regarding contract funding, billing requirements, and financial reporting obligations.
- Coordinate with the Senior FP&A Analyst regarding pricing assumptions, contract funding, labor categories, and proposal cost volumes.
- Ensure contractual funding aligns with contract modifications and periods of performance.
- Review CLIN structures, labor categories, and funding documents for contractual accuracy.
- Develop and maintain Contracts Standard Operating Procedures (SOPs).
- Establish standardized contract administration processes.
- Recommend automation opportunities that improve contract management efficiency.
- Support implementation of contract management tools and best practices.
- Serve as the Company's principal advisor on contractual matters.
- Brief executive leadership regarding contractual risks, negotiations, modifications, and compliance issues.
- Support mergers, acquisitions, strategic partnerships, and corporate growth initiatives from a contractual perspective.
- Provide contractual recommendations supporting executive decision-making.
- Build and mature F3EA's Contracts function into a scalable department.
- Develop standardized templates, checklists, and workflows.
- Mentor future Contracts personnel as the department grows.
- Promote a culture of contractual excellence, accountability, and customer service.
Supervisory Responsibilities

- U.S. Citizenship (required for security clearance eligibility and access to CUI systems).
- Bachelor's Degree in Business Administration, Contracts Management, Acquisition, Legal Studies, Finance, or related field.
- Minimum seven (7) years of progressively responsible Government contracts experience.
- Minimum five (5) years administering Department of Defense contracts.
- Demonstrated experience independently managing the complete Government contract lifecycle.

- Ability to manage multiple complex contracts simultaneously.
- Certified Professional Contracts Manager (CPCM)
- Certified Federal Contracts Manager (CFCM)
- Certified Commercial Contracts Manager (CCCM)
- NCMA membership
- Experience supporting SOCOM, DoD, DHS, or other Federal agencies.
- Experience supporting DCAA/DCMA reviews.
- Experience with GovWin, PIEE, SAM.gov, FPDS, CPARS, eSRS, and other Government acquisition systems.
- Prior military or Government contracting experience.
- Background Investigation: The selected candidate must successfully complete a background investigation and obtain eligibility for a U.S. Government security clearance. Employment is contingent upon favorable adjudication.
- Full-time, onsite position at F3EA Savannah, Georgia headquarters. This position is eligible for remote or hybrid work arrangements.
- Standard business hours with occasional after-hours support required for scheduled maintenance windows, system patching, and urgent incident response.
- Work is performed in office environments.
- The position involves regular interaction with all levels of the organization, from entry-level employees to executive leadership and government clients.
