Job Description:

Position Summary

Epiq isseekinga highly experiencedlegal professionalto support a managed legal operations engagement involving law firm engagement letters, outside counsel contracting, contract lifecycle management, and legal vendor governance. The legal professionalwill independently review, redline, negotiate, andfinalizelaw firm engagement terms, work directly with in-house attorneys and law firms, reduceescalation volumeto client leadership, and helpestablishscalable playbooks, governance processes, and contracting standards.

Key Responsibilities

  • Review, draft, redline, negotiate, andfinalizeengagement letters, outside counsel agreements, and related legal services contracts.

  • Serve as the primary point of contact for contract negotiations with external law firms and internal legal stakeholders.

  • Interpret legal and business risks and make attorney-level recommendationsregardingcontract language,rateproposalsand negotiation strategies.

  • Apply established contract guidelines while exercising independent legal judgment on deviations and escalations.

  • Partner directly with client attorneys, legal operations professionals, procurement, and law firms throughout the contracting lifecycle.

  • Utilize CLM technology and workflow tools, including Malbek or comparable platforms, to manage contracts and approvals.

  • Identifyrecurring negotiation issues and develop playbooks, fallback positions, templates, and standard operating procedures

  • Support rate negotiation, law firm onboarding, vendor governance, and related outside counsel management initiatives.

  • Drive process improvements, automation opportunities, reporting, and metrics associated with outside counsel contracting.

  • Maintain strong documentation, audit readiness, and compliance with company policies.

  • Provide support for conflicts of interest review, analysis, and resolution in coordination with internal stakeholders and outside counsel.

Required Qualifications

  • JD and active bar membershippreferred.

  • 5+ years of experience negotiating contracts and legal services agreements.

  • Experience with law firms, legal operations, or corporate legal departments.

  • Demonstrated ability to independently lead negotiations.

  • Experience with CLM platforms and workflow tools.

  • Strong communicationandstakeholder-managementskills.

Preferred Qualifications

  • Experience supporting large corporate legal departments.

  • Outside counsel management experience.

  • Experience applying AI-enabled tools to legal operations, contract review, workflow optimization, or outside counsel management.

  • Playbook and governance framework development experience.

Success Profile

Collaborative, proactive, detail-oriented, and comfortable engaging directly with senior attorneys and law firm partners. Capable of reducing dependence on escalations by independently resolving negotiation issues.
