Fortitude, backed by DCG, is an institutional-scale, vertically integrated venture mining platform operating across the Proof-of-Work ecosystem and anchored in Zcash. The Company pairs self-mining operations with an owned data center footprint, a diversified power portfolio backed by competitive long-term contracts, and disciplined capital allocation to identify and scale high-conviction opportunities in emerging Proof-of-Work protocols, beginning with its leadership position in the Zcash network.

Fortitude is led by an experienced team of operators, capital markets professionals, and digital asset specialists with a track record of identifying and scaling high-conviction opportunities and building privacy-preserving digital asset infrastructure.

Position Overview:

Fortitude is seeking a senior legal leader to oversee legal, regulatory, governance, and compliance matters across the organization. The final title may be CLO, SVP Legal, or Head of Legal depending on the selected candidate's experience.

This role will serve as a key member of the executive leadership team, responsible for overseeing all legal, regulatory, and governance matters across the organization. This role is critical to supporting the company's growth, corporate strategy, and compliance. This role will provide strategic counsel to the CEO, Board of Directors, and senior leadership on corporate governance, securities law, M&A, capital markets and public company transactions, energy and power matters, commercial contracts, site acquisitions, project management, and risk management matters.

The ideal candidate has deep experience leading a corporate legal function, including oversight of corporate governance, corporate compliance programs, and required disclosures under securities laws. Experience advising or leading a company through public-company preparation, strategic transactions, or complex corporate events is required.

Location: Remote – Eastern US. Travel to Fairport, NY and Stamford, CT will be required.

Key Responsibilities:

  • Develop and lead corporate legal strategies to promote and protect the company.
  • Oversee the delivery of legal services and resources to accomplish the company's goals, strategies, and priorities.
  • Draft and negotiate a full spectrum of contracts, including leases, hosting agreements, power and energy supply agreements, service and supplier agreements, construction contracts, and other commercial contracts.
  • Lead preparation, review, and filing of applicable SEC reports and disclosures, and advise on ongoing public-company reporting obligations.
  • Support securities law, public company readiness, financing activity, and strategic transaction matters, working closely with internal teams and outside counsel to enable business growth.
  • Provide legal leadership on M&A, joint ventures, and other strategic transactions, including diligence, structuring, negotiation, and integration.
  • Advise on energy, power, and infrastructure matters, including power purchase agreements, hosting and colocation arrangements, real estate and site acquisitions, and related regulatory considerations.
  • Oversee and manage outside counsel work product and fees.
  • Manage the company's various insurance policies and work with external broker(s) to identify and address risks through insurance programs.
  • Build out and manage the company's corporate governance processes and implement corporate policies.
  • Support Board of Directors processes; prepare for, and attend, Board and committee meetings.
  • Anticipate and identify legal risks and provide proactive advice and support to the C-Suite on assigned legal matters.
  • Stay abreast of legal and regulatory changes as they apply to Bitcoin mining, energy, and other PoW tokens.
  • Manage legal department processes, budgeting, and cost control.
  • Advise on public communications, including press releases, crisis communications, and investor communications, as needed.

Qualifications:

  • Juris Doctorate from an ABA-approved institution.
  • Admission to at least one state bar and in good standing.
  • 12+ years of relevant legal experience preferred, including significant time at a leading U.S. law firm and/or in an in-house legal role at a public company.
  • Demonstrated experience advising on, or leading a company through public-company transaction is strongly preferred.
  • Strong corporate, capital markets, M&A, and/or securities background, with the ability to manage SEC reporting and public-company governance.
  • Exposure to energy, power, infrastructure, data centers, or crypto/digital assets is strongly preferred; deep experience in one or more is a significant plus.
  • Strong strategic thinking and analytical capabilities, with a creative approach to problem-solving.
  • Outstanding communication and interpersonal skills, with the ability to present insights and recommendations to senior executives, the Board, investors, and external counterparties.
  • Proven ability to operate at the intersection of legal, business, and regulatory considerations.
  • Comfort working in a high-growth, entrepreneurial environment where building new processes and structures is the norm.
  • Candidates currently in private practice (BigLaw corporate, capital markets, M&A, or energy/projects) are encouraged to apply; in-house experience is preferred but not required for the right candidate.
