Wilson Sonsini is looking for an experienced Paralegal to work closely with attorneys on private companies in our dynamic Corporate Department. The paralegal would be an important part of our team in handling general corporate matters and transactions.

This position is available for a hybrid or fully remote work schedule.

Responsibilities:

  • Assist in formations, financings, and dissolutions
  • Prepare corporate documents, such as board and stockholder actions
  • Process stock and option administration, including drafting agreements and preparing stock notices
  • Manage capitalization processes and records in equity management platforms, including Rule 701 analysis
  • Draft and file corporate and securities filings
  • Conduct blue sky research and prepare required filings
  • Prepare and assist with EDGAR code applications and accounts
  • Communicate with clients, holders, directors, investors, and auditors
  • Coordinate pre-closing and post-closing matters
  • Assist with annual compliance matters and due diligence reviews
  • Provide support for franchise taxes and notices to clients
  • Handle daily corporate maintenance work
  • Organize client records and maintain files
  • Input time entry daily

Qualifications:

  • Bachelor's Degree or Paralegal Certificate at accredited college or university
  • 3+ years of corporate paralegal experience at law firm
  • Strong working knowledge of corporate tasks for private companies
  • Understanding of corporate governance matters and transactional work
  • Experience with securities and corporate laws
  • Experience in capitalization management platforms such as Carta and Shareworks
  • Proficient with Excel spreadsheets
  • Detail-oriented and organized, with excellent analytical skills
  • Excellent communication and prioritization skills to manage projects simultaneously under deadline pressure
The primary location for this job posting is in Palo Alto, but other locations may be listed. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate's qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows:Palo Alto, New York, San Francisco: $45.48 - $61.54 per hour. Austin, Boston, Boulder, Century City, Delaware, Los Angeles, Salt Lake City, San Diego, Seattle, Washington, D.C., and all other locations: $43.21 - $58.46 per hour.

The compensation for this position may include overtime and a discretionary year-end merit bonus based on performance. We offer a highly competitive salary and benefits package.
