The ZipRecruiter 2017 Scholarship Promotion (the "Promotion") is sponsored and administered by ZipRecruiter, Inc. ("ZipRecruiter" or "Sponsor").
NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED. BY ENTERING, EACH ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISION OF THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS.
HOW IT WORKS. Each quarter starting July 1, 2017 and ending June 30, 2018, ZipRecruiter will give one lucky winner USD$3,000 to be used towards educational expenses and/or expenses related to finding your next job. The Promotion will run during the following periods: July 1, 2017 to September 30, 2017 (July Promotion); October 1, 2017 to December 31, 2017 (October Promotion); January 1, 2018 to March 31, 2018 (January Promotion); and April 1, 2018 to June 30, 2018 (April Promotion).
ZipRecruiter will update these Official Entry Rules to let you know the specific eligibility requirements for each new quarterly Promotion, including, but not limited to, the entry period, essay requirements, judging criteria, and the winner announcements dates.
Eligibility. In order to be eligible to participate in each quarterly Promotion, entrants must meet all of the following conditions (hereinafter, each an "Entrant"): At the conclusion of the specific Entry Period for each quarterly Promotion, you must (i) be a legal resident of one of the fifty (50) United States or the District of Columbia, (ii) be 18 years of age or older (or at least the age of majority in your jurisdiction of residence), and (iii) be enrolled as a student at an accredited high school, college or university in the United States.
Eligibility decisions shall be made and determined by the Sponsor in its sole discretion. Directors, officers, and employees (and their respective relatives and household members) of the Sponsor and its subsidiaries are not eligible to enter the Promotion. For the purpose of this Promotion, relatives are defined as a spouse, partner, parent, legal guardian, in-law, grandparent, sibling, children and grandchildren.
HOW TO ENTER. To enter the July Promotion, complete all the following steps (each, an "Entry"):
(1) Draft a 250-500-word essay on one of the following topics:
• Overview of your city and what makes it unique
• Overview of the job market that is unique to your city
• How ZipRecruiter can help you find you next job in your city
(2) During the July Promotion Entry Period, (a) visit www.ziprecruiter.com/scholarship (the, "Promotion Site") and upload your essay; (b) complete the entry form by inserting the information requested ("Entry Form"); and (c) submit your Entry by clicking on the "Submit Entry" button.
Your essay and any accompanying photo should not contain visible third-party logos, drawings, cartoons, phrases, trademarks or other third-party content or materials. If your Entry includes any third-party materials (including but not limited to, any copyrighted content or any trademark, logo or mark that identifies a brand), or otherwise violates or infringes (or may infringe) any copyright or trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased (including but not limited to rights of privacy or portrayal in a false light), the Sponsor, at its sole discretion may disqualify your Entry. Entries that do not include all required information and adhere to these Official Entry Rules as determined by Sponsor, in its sole discretion, will be considered void.
Entrants must be individuals. No group or team submissions are permitted. Each individual Entrant is allowed a total of one (1) Entry during the Entry Period. Proof of Entry submission is not proof of receipt of the Entry by the Sponsor. Entries will be effective on the day received by the Sponsor. All Entries become the exclusive property of the Sponsor and will not be acknowledged or returned. Entrants are responsible for costs of entering, including online access charges and data/usage charges if entering via a mobile device. Each wireless carrier's rate plan may vary, and you should contact your wireless carrier if you have questions regarding data plans and charges relating to your participation in this Promotion. The Sponsor shall not be responsible for lost, late, misidentified or misdirected Entries, or Internet, telecommunication or computer hardware or software performance, errors, delays or failures.
ENTRY RULES. The Entry must (i) be the original work of the Entrant created for this Promotion; (ii) not have been previously published or entered in any other competition or promotion; (iii) be suitable for display and publication, including for display and publication online (e.g. it may not be obscene or indecent, including but not limited to nudity or profanity; it must not contain obscene or pornographic material, it must not contain defamatory statements or messages (including but not limited to words, images, or symbols that are widely considered offensive to individuals of a certain race, ethnicity, gender, religion, sexual orientation or socioeconomic or other group); it must not invade privacy or other rights of any person, firm or entity, and it must not in any other way violate or depict a violation of applicable laws and regulations); and (iv) not contain content that infringes any third-party rights.
ENTRY PERIOD. The entry period for the July Promotion starts at 12.00 a.m. (P.D.T) on July 1, 2017 and will end at 11.59 p.m. (P.D.T.) on September 30, 2017 (the "Entry Period").
JUDGES AND JUDGING CRITERIA. Eligible Entries will be judged by designated employees of the Sponsor. The decision of the judges and the Sponsor will be final. The judges will select will select one winner from all eligible Entries.
Entries will be judged in accordance with the following criteria: content, style, creativity, and effectiveness as a standalone guide for a student searching for a job in a particular city.
Prize. There will be one prize consisting of USD$3,000 to be applied towards the winner's college expenses such as books, tuition, accommodation, etc. (the, "Prize"). In the event of a tie, the Prize will be divided equally between the winners. The Prize is non-transferable by the winner.
TAXES. Where applicable and except where prohibited by law, the Prize winner is solely responsible for any taxes with respect to the Prize and may receive a Form 1099 for the taxable value of the Prize.
WINNER NOTIFICATION; PRIZE CONDITIONS. If you are selected as the winner of the July Promotion, you will be notified by email on or about October 31, 2017. The winner may be required to complete, execute and return an IRS W-9 Form, a Confirmation or Affidavit of Eligibility, a Liability Release, and, where lawful, a Publicity Release (collectively, the "Documentation"). The Sponsor is not responsible for any delay or failure to receive a notification for any reason.
The Prize may be forfeited and an alternate winner may be selected if the required Documentation is not returned within the required time period or if an Entrant fails to respond to the Sponsor notifications or if the Entrant's compliance with these Official Entry Rules cannot be verified to the Sponsor's satisfaction. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Entrants. The Sponsor reserves the right to take any actions necessary to verify an Entrant's compliance with these Official Entry Rules before announcing the winner and/or awarding the Prize
Public Announcement of the Official Winner. The Sponsor will publicly announce the winner of the July Promotion on or about November 2017.
RIGHT TO CANCEL, MODIFY OR DISQUALIFY. If for any reason the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Promotion, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion.
OWNERSHIP OF ENTRIES. All Entries become the exclusive property of the Sponsor. Each Entrant irrevocably assigns and transfers to the Sponsor and its agents, licensees and assignees all rights in his or her essay, including, without limitation, all copyrights and grants to the Sponsor and its agents, licensees and assigns the right to reproduce, publish, broadcast/use, adapt, delete, edit and/or modify the essay in any manner or format, for any programming, publicity, advertising and promotional purposes, and in any and all media worldwide in perpetuity, in all languages and versions, and without additional consideration or right of approval, except where prohibited by law.
PUBLICITY. Except where prohibited by law, each Entrant grants to the Sponsor, and those acting under the Sponsor's authority, the royalty-free, irrevocable, and perpetual right to use, publish, and broadcast his/her name, picture, image, likeness, biographical information (e.g., course of study, major, high school, college, or university, etc.), and essay, in all media now known or hereafter discovered, worldwide, and without notice, review or approval by the Entrant, for the purposes of advertising, marketing and promoting the Sponsor, its products and its services, and/or in relation to publicity regarding this Promotion and/or future promotions that may be sponsored by Sponsor, and without further compensation to the Entrant. The Sponsor reserves the right to edit, reproduce, or otherwise make derivative works, changes, additions or alterations to, or deletions from, all or any part of the Entry. Each Entrant further agrees that the Sponsor will have the right to include his or her name, image, likeness, voice, pictures, biographical information or statements in any of Sponsor's Advertising Materials in any medium without further compensation, except as prohibited by law. "Advertising Materials" shall include television and radio commercials, and any type of print and/or promotional materials including without limitation, print advertisements, publicity, posters, displays, social media and internet materials. The Sponsor shall be under no obligation to make or use any Advertising Materials. Pursuant to the foregoing, each Entrant agrees to release, defend, indemnify and hold harmless the Sponsor from and against any claims, damages or liability arising from or related to the use of his or her Entry, including but not limited to claims of defamation, invasion of privacy or rights of publicity or copyright infringement.
Each Entrant may be required to submit a picture for his or her profile that will be utilized by the Sponsor in the Advertising Materials and in any announcement or publicity regarding this Promotion.
Warranties. You warrant that your Entry is your own original work and you have the right to submit your Entry in the Promotion and grant the required licenses to ZipRecruiter. You agree not to submit any content that (a) infringes any third party proprietary rights, intellectual property rights, rights of publicity or endorsement, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret, privacy, publicity or confidentiality obligations; or (b) otherwise violates applicable state, federal, local or provincial law.
DISCLAIMERS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAWS, UNDER NO CIRCUMSTANCES WILL ZIPRECRUITER, IT SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS (COLLECTIVELY "ZIPRECRUITER PARTIES") HAVE ANY LIABILITY FOR ANY LOSS OR DAMAGE RESULTING DIRECTLY OR INDIRECTLY FROM, WITHOUT LIMITATION, (A) YOUR PARTICIPATION IN THE PROMOTION; (B) YOUR RECEIPT, USE OR REDEMPTION OF A PRIZE OR YOUR SHARE OF A PRIZE; OR (C) YOUR INABILITY TO RECEIVE, USE OR REDEEM THE PRIZE OR A SHARE OF A PRIZE, UNDER ANY THEORY OF LIABILITY CAUSE OF ACTION WHETHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT OR OTHERWISE, REGARDLESS OF WHETHER ANY ZIPRECRUITER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE ZIPRECRUITER PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, WITH RESPECT TO THE PROMOTION OR THE PRIZE. IN NO EVENT WILL THE ZIPRECRUITER PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES IN CONNECTION WITH THE PROMOTION, THE PRIZE, OR THESE OFFICIAL RULES.
LIMITATION OF LIABILITY. IN NO EVENT WILL THE ZIPRECRUITER PARTIES' LIABILITY TO YOU OR ANY THIRD PARTY IN CONNECTION WITH THE PROMOTION OR THESE OFFICIAL RULES, UNDER ANY THEORY, EXCEED ONE HUNDRED DOLLARS ($100).
Indemnity. You agree to release, indemnify, defend and hold the Sponsor and its subsidiaries, and their respective directors, officers, employees, and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Promotion, harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from your participation in the Promotion or acceptance or use of a Prize or share thereof, including without limitation (i) any condition caused by events beyond the Sponsor's control that may cause the Promotion to be disrupted or corrupted; (ii) any claim that an Entry infringes a third party's intellectual property or proprietary rights; (iii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the Prize, or acceptance, possession, or use of the Prize, or from participation in the Promotion; (iv) any printing or typographical errors in any materials associated with the Promotion or any technical errors that may impair your ability to participate in the Promotion; (v) errors in the administration of the Promotion; or (vi) any non-compliance by you with these Official Entry Rules.
DISPUTES; MANDATORY ARBITRATION. The construction, validity, interpretation and enforceability of these Official Entry Rules along with the rights and obligations of you and the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws rules thereof. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Entry Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If there are any discrepancies or conflicts between printed, digital or other promotional materials, or any other written or verbal representations regarding the Promotion and these Official Entry Rules, the provisions of these Official Entry Rules will govern and control.
Except where prohibited by law, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion, the Official Entry Rules, or any Prize awarded hereunder, shall be resolved individually, without resort to any form of class action.
If a claim is not otherwise resolved through direct discussions, it shall be resolved exclusively by final and binding arbitration administered without resort to any form of class action, by Judicial Arbitration and Mediation Services (JAMS), in accordance with its rules and procedures (the, "JAMS RULES"). The JAM RULES for selection of an arbitrator shall be followed except that the arbitrator shall be experienced and licensed to practice law in California. Any claim shall be arbitrated on an individual basis and will not be consolidated in any arbitration with any claim of any other party.
All proceedings shall be conducted in the County of Los Angeles, California. The remedy for any claim shall be limited to actual damages and in no event, shall you be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney's fees or other such related costs of bringing a claim.
If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. YOU IRREVOCABLY WAIVE ALL RIGHTS TO SEEK INJUNCTIVE OR EQUITABLE RELIEF OR ANY TRIAL BEFORE A JUDGE OR A JURY. You agree to service of process by mail or other method acceptable under the laws of the State of California.

WINNER LIST/RULES REQUEST. ENTIRE AGREEMENT. Except as expressly provided below, these Official Entry Rules set forth the entire understanding between you and the Sponsor regarding, or related in any way to, the Promotion, and you acknowledge and agree that there are no other representations or agreements between you and the Sponsor regarding the Promotion.
