LEGAL DEPARTMENT OVERVIEW

The Legal Department includes ten attorneys, two administrative legal assistants and one clerk. The Department is responsible for handling all day-to-day legal matters for the Company including contract drafting/review, negotiations, enforcement of corporate controls & procedures, corporate governance including SEC and NASDAQ compliance, mergers & acquisitions, disputes, litigation, etc. The attorneys have a close working relationship with executive management and are involved with all aspects of the business.

The expectation of this Staff Attorney position is to quickly transition into a lead attorney role working independently on a wide variety of matters and developing a national, transactional practice.

This position will report to the Deputy General Counsel.


MAIN RESPONSIBILITIES

  • Provide support to the attorneys in the department as needed to meet the challenges of the business
  • Become knowledgeable with the company's systems, service lines, reoprting structure, corporate policies and procedures
  • Provide legal analysis and guidance to the business team
  • Draft and review a variety of vendor contracts (such as subcontracts, license agreements, work orders, service agreements, leases and consulting agreements)
  • Review RFPs
  • Coordinate resolution of contract disputes with third parties

MINIMUM QUALIFICATIONS

  • Hardworking, enthusiastic person who seeks to join a close-knit team of professionals
  • Ability to work under pressure, handle numerous assignments and meet deadlines with minimal oversight
  • Advanced analytical, decision making and problem solving skills
  • Advanced writing skills; contract drafting, external letters and internal memos
  • Advanced communication skills; negotiating technical concepts and translate complex legalese into practical guidance for the business team

Education & Experience

  • Law degree and current license to practice law in the State of Illinois.
  • A minimu of five years of prior work experience in a corporate legal department or business/transactional practice group of a law firm
  • Experience with contracts, real estate, property manangement, leasing, technology and/or e-commerce
