The Corporate Counsel will work directly with Questex’s business teams, counseling clients and handling contracts in a wide variety of areas including but not limited to intellectual property, marketing, privacy, data security, employment, large-scale events, print and digital publishing and information technology. The Corporate Counsel will report directly to the Chief Financial Officer, and will act as an advisor and consulting resource for Questex and its divisions (U.S. and foreign).
Responsibilities: • Review, draft and negotiate contracts including licensing agreements, consulting agreements, vendor agreements and agreements relating to websites, digital properties and tradeshows/conferences/hosted-buyer events. • Key legal contact for multiple business units to develop programs and contracts to meet their business needs. • Handle matters and help to develop policies and best practices for the company, including those related to privacy, data protection, marketing/advertising and large-scale events. • Work on a wide variety of copyright, trademark, defamation and other media-related matters. • Quickly respond to requests for advice from business units and senior management on various legal and business issues, including business risks, contract interpretation, and other issues. • Assist the Chief Executive Officer and Chief Financial Officer on corporate governance issues and transactions, including mergers, acquisitions and financings.
Requirements: • J.D. and admission to the bar of the State of Massachusetts or New York. • At least 2 years of relevant experience. • Exceptional writing, drafting and communication skills; ability to convey legal advice clearly and effectively to business teams and senior management. • Ability to exercise sound judgment and make decisions in a manner consistent with the essential job functions. • Results-orientation and time management skills. • Must be flexible with the ability to manage multiple projects simultaneously. • Excellent interpersonal skills & the ability to work effectively with employees at all levels.
