The Opportunity:
Verona Pharma is currently recruiting a Contracts Attorney to join our team in Raleigh, North Carolina, reporting to the General Counsel. Remote working and flexibility are important parts of our culture at Verona. However, we are looking for candidates based in the Raleigh/Durham/Chapel Hill area as you will periodically be required to go into the Raleigh office for key meetings, training, and other activities as needed.
In the Contracts Attorney role, you will be the primary contact responsible for drafting and negotiating a wide range of corporate and commercial contracts. In addition, as part of the legal team, you will provide corporate, transactional and other legal support as needed.
To be successful in this role, you must work closely and cross-functionally with operating units throughout our organization to lead and support the contracting process to meet key milestones under tight deadlines. You will have strong negotiation skills and business acumen, and excellent interpersonal and project management skills, while cultivating a culture that possesses a strong commitment to diversity, inclusion and community.
Responsibilities:
- Draft, review and negotiate contracts across all areas of the organization, including but not limited to, non-disclosure, vendor, commercial, sales, distribution, collaboration, licensing and clinical trial agreements.
- Draft and update appropriate templates and work with operating units to develop contract strategies to support the organization.
- Engage appropriate internal subject matter experts to assist with and participate in information gathering, document development, contract and issue reviews, and contract negotiation.
- Ensure consistency of contract terms with company policies and goals and best practices to enhance the contracting process.
- Facilitate internal contract approval and stakeholder negotiation to resolve contractual issues and assist in disputes (escalating complex legal and factual issues to the appropriate internal parties).
- Support business partners on key commercial, legal, corporate policy and other considerations to ensure timely performance and adherence to terms of contracts.
- Prepare contract summaries to assure proper interpretation of contracts (e.g., milestones, obligations, deliverables, invoicing etc.) and advise on same.
- Work with IT, manage company CMS, including ensuring proper recording of contracts on the system.
- Provide corporate, transactional and other legal support as needed to the General Counsel and operating units.
- Other duties as assigned.
Requirements:
- J.D. from an accredited law school.
- Minimum of 6 years of corporate contract and business experience, including developing, negotiating and managing a wide variety of commercial contracts and development agreements, within the biotech and/or pharmaceutical industry.
- Prior in-house experience in a public biotech and/or pharmaceutical company preferred.
- Experience at a pharmaceutical company in commercialization stage preferred.
- Demonstrated organizational skills and ability to manage multiple projects at once, drive execution and meet critical deadlines.
- Strong communication, interpersonal, and negotiation skills; excellent oral and written communication skills with experience in reviewing and redlining legal documents.
- Excellent Judgment -- regarding the "how", "what", and "when" of addressing leadership, cross-functional partners and key stakeholders with sensitive issues.
- Ability to provide solution-oriented, practical guidance in working with business management.
- Ability to identify contract-related risks and issues and propose solutions and mitigations.
