General Summary:

The In-House Paralegal will work closely with the General Counsel to assist with the management of the Legal Department function.

Essential Duties and Responsibilities:

  • Act as Safer’s Lobbyist Compliance Officer responsible for lobbyist filings, serving as the point of contact for employees to report any contacts with governmental officials, and assessing whether contact constituted lobbying and what registration and reporting requirements maybe triggered. The Officer will provide brief presentations on the topic at new employee orientations and agency staff meetings, conduct semi-annual training for anyone in regular contact with governmental officials, and send agency-wide emails every quarter regarding any updates.
  • Assist General Counsel in preparation for and conducting of social enterprise legal audits ensuring compliance and regulations and controls by examining and analyzing records, reports, operating practices, policies and documentation. Responsible for developing and writing audit tools, audit work papers and memorandums as well as recommending opportunities to strengthen the internal structure.
  • Support the General Counsel in real estate transactions to:
    1. Review and prepare general correspondence
    2. Review purchase and sale contracts
    3. Review, request, and order:
      • Real property reports
      • Certificates of title
      • Title insurance
      • Due diligence searches
  • Record important dates and maintain files
  • Organize closing funds
  • Calendar all critical dates and contingencies
  • Prepare a closing checklist, which includes outlining critical dates and the responsibilities of all parties
  • Coordinate closing with all parties in the transaction, including the buyer, sellers, title insurance company, opposing counsel, and lender
  • Prepare transfers, closing documents, closing reports, and accounts.
  • Draft and/or edit legal documents including templates, policies and business practices as directed by General Counsel as needed.
  • Review, analyze, and organize complex factual material and other substantive legal documents.
  • Perform legal research as directed by the General Counsel.
  • Draft and provide advice regarding policies, procedures, and memoranda on an as needed basis.
  • Participate in drafting, reviewing, and editing contracts with internal staff and external third parties.
  • Upload forms, contracts, and agreements, add signing fields, and send to recipients using document- signing software.
  • Monitor agency for legal inquiries, responding to or escalating to the General Counsel as necessary.
  • Manage contract management process in collaboration with the Grants Compliance and Reporting Manager (GCRM).
  • Continuously update Contract Administration policy and process and train internal Safer staff as needed.
  • Prepare and maintain compliance calendars.
  • Assist with state and local corporate compliance filings and legal document management.
  • Support entity formation function, including preparing certificates of formation, basic LLC operating agreements, and state registration documents, and coordinate filings of same with registered agent.
  • As needed, communicate the progress of ongoing legal matters to internal stakeholders.
  • Support General Counsel in Board of Director meeting preparation, including the organization of meeting materials, resolutions, and agendas.
  • Perform other job duties as assigned.

Education and Experience:
  • Bachelor's degree or combination of relevant experience (2 years plus preferred) and paralegal certification required.
  • Good interpersonal and communication skills.
  • Proficiency with Outlook and willingness to learn new technologies and systems as needed.
  • Well organized and efficient; able to prioritize, multi-task and meet deadlines promptly.
  • Experience drafting, reviewing and analyzing contracts required.
  • Self-starter with ability to work independently as well as on a team and to quickly shift priorities in response to changing business environment or priorities.
  • Excellent analytical, written and oral communication, and problem-solving skills.
  • Ability to work collaboratively, including through effective communication, with internal clients from different departments, including risk departments, at various levels of seniority.
  • Ability to promptly produce high-quality, accurate, and detailed work product.
  • Ability to work in a capacity with strict privacy and confidentiality requirements.
  • Proficiency with Microsoft Office software (Excel, Word, PowerPoint) efficiently
