Legal Counsel
job summary:
We are looking for a temporary in-house attorney to commit around 40 hours per week, on site, by contract through May 2020.
The assignments will be varied - complex commercial contracts, in-bound vendor agreement review, NDAs and software licensing negotiation. Depending on the candidate's background, product counseling may be an opportunity.
Reporting to the Deputy General Counsel, the counsel will be trusted advisor who is customer service oriented, has an eagerness to tackle a wide range of legal and business issues and the ability to balance legal risks with business objectives and successfully get deals closed in a timely manner and, all with a positive attitude.
Responsibilities:
  • Handle the review, drafting and negotiation of a wide variety of contracts, including but not limited to software license agreements, in-bound vendor agreements, NDA's, CDA's, marketing, facilities, service agreements and other agreements, as needed.
  • Summarize and communicate legal concepts to management and employees in the field
  • Work on special projects as requested.
Qualifications:
  • You are a member in good standing of the State Bar (preferably California), or eligible to practice as a California registered in-house attorney.
  • You have 2-5 years combined relevant of transactional experience in a law firm and/or in-house legal department, preferably working with software
  • You are a true generalist who enjoys picking up new skills in different practice areas
  • You have a commitment to excellent client service
  • You are a self-starter who has the ability to work independently and manage many simultaneous projects under deadline pressure
  • You have excellent verbal and written communication skills and the ability to communicate effectively with a broad audience, including business, legal and highly specialized technical individuals
  • You have a strong attention to detail

  • Experience with open source licensing
