The Chief Accounting Officer and will work closely with functional department heads and personnel in all regions and locations of the company to build and scale the tax department throughout the company.

About the Role

This role will require extensive experience in all facets of corporate tax, both general and technical with excellent communication and interpersonal skills.  This person must have demonstrated knowledge of and the ability to research various tax considerations and proposals and understand the effects any proposed changes would cause on the profitability of the company.  In addition, familiarity and working with financial statements, and the development and maintenance of internal control policies and procedures.  Key attributes of the candidate will include a high degree of professional standards and ethical principles, a strong work ethic, the ability to work independently, and demonstrate a strong commitment to team objectives and continuous improvement in addition to mentoring and developing people, processes and policies.  This individual will help establish the operating cadence, as it relates to tax, required of a publicly traded company and be a key contributor to a state of IPO readiness.

Overall Responsibility

The Director of Tax will be responsible for all tax matters, such as planning, corporate restructuring projects, mergers and acquisitions related to transaction analysis, due diligence and post-merger integration as well as accruals and tax compliance.  In addition, the position will coordinate and manage any third party tax consultants engaged to assist the company in preparing and reporting required tax filings for the company in all jurisdictions.

Key Areas of Responsibility

  • Maintain and manage SOX policies and procedures, structuring transactions, divestitures and other special projects as they relate to company taxes
  • Manage implementations of tax planning projects and the integration of target companies into company's tax operations process
  • Perform purchase accounting analysis under U.S. GAAP with respect to completed acquisitions
  • As needed, monitor company's transfer pricing policies and related documentation
  • Conduct extensive communication with company leadership across business functions (Accounting, Legal, Treasury, Financial Planning, Operations, etc.)
  • Monitor legislative changes in US tax laws that may impact company's tax positions, including tax accounting implications
  • Oversee special projects as required (E&P studies, 382 studies, deferred tax analysis, etc.)
  • Manage outside tax consultants and advisors
  • Coordinate and manage all efforts related to tax authority/jurisdiction audits
  • Ensure tax filings for all jurisdictions are completed and submitted on time with a high degree of accuracy
  • Review with management the quarterly analysis regarding the company’s effective tax rate (ETR)
  • Review and ensure completion of all tax accrual provision calculations
  • Prepare all tax papers, narratives, support and footnotes for the company with the intention that the company will be publicly traded and be required to prepare all SEC filings (10-K and 10-Q’s)
  • Support and uphold HS&E policies and procedures
  • Commit to and promote the Company culture and mission
  • Support Corporate and department goals
  • Conduct, participate and promote Personal Development for employees
  • Other duties, relevant to the position, shall be assigned as required

Qualifications

  • Active CPA certification is preferred, but not required
  • Bachelor or Master’s degree in Accounting or equivalent
  • 7 to 10 years of corporate tax experience is required
  • Background in tax from a major public accounting firm with private and publicly traded clients
  • Proficiency with income tax accounting (ASC740, FIN 48)
  • A solid understanding of corporate tax concepts applicable to domestic operations is required
  • Experience with international tax practices and filings, a plus
  • Proven success in building and developing a corporate tax centralized functional department
  • Experience with a fast paced, high growth company
  • Familiarity and knowledge of SEC reporting for a publicly traded company
  • Solid general knowledge of the residential solar industry
  • Deep understanding of U.S. GAAP and ability to research and understand technical tax guidance and proposed legislation
  • Ability and skills in writing tax memos and preparing quarterly provisioning and filings
  • Ability to execute on multiple tasks simultaneously and adhere to strict deadlines in a fast-paced, ever changing environment, with a talent for properly prioritizing tasks and project deliverables
  • Familiarity and fluency with MS-Excel, NetSuite, and other common financial software platforms
  • Experience with record gathering and consolidations complete tax filings and support
  • Strong communication and interpersonal skills, including the ability to interact effectively with employees at all levels and functional departments of the company
  • Ability to read, analyze, and interpret common financial reports, contracts, and legal documents
  • Proactive, assertive and possess a creative approach to problem solving
  • Ability to respond to common inquiries from customers, regulatory agencies, members of the Executive Staff, and other employees and functional leaders
  • Ability to effectively present information to top management, public groups, and/or boards of directors
  • Ability to define problems, collect data, establish facts and draw valid conclusions
  • Ability to critically think and demonstrate high attention to detail
