LightEdison is searching for a dedicated Corporate Counsel to support a growing pipeline of LED conversion projects for city streets, municipal and commercial buildings and ballfields and even some solar installations. Location Requirements:

An initial 90 day probationary period can be remotely performed. Following the end of the 90 day probationary period, if the Position Holder and the Company determine that the Position Holders' employment should continue, then the Position Holder shall be required to relocate within 6 months of the end of the 90 day probationary end date to Bozeman, MT. Company and Position Holder shall negotiate a mutually agreeable relocation allowance prior to the start of the 90 day probationary period, and the Position Holder and the Company shall agree to a two year employment agreement.

 

We are currently hiring for the following position:

Development Counsel

Roles and accountabilities:

  • Developing, updating and reporting of project scope, schedules and budgets
  • Working with Finance Division on all required project and install work order change orders
  • Maximizing efficiency in the implementation of detailed project plans, keeping track of goals, tasks, resources, schedules, costs, and contingencies
  • Responsible for the quality of work, and for keeping a project on time and on budget
  • Coordinating project development legal activities, including but not limited to: project acquisition agreements, land lease agreements, buy/sell agreements, interconnection agreements, permitting agreements, power purchase agreements, finance agreements, letter of intents, procurement agreements, construction agreements, operations and maintenance agreements and other development related legal agreements and negotiations using internal and external legal counsel
  • Coordinating project development permitting activities, including but not limited to: all local, state and federal permits required to construct and operate the project
  • Securing all required project development permits from all authorities having jurisdiction ("AHJs") required for the project to achieve a notice to proceed under the project's Engineering, Procurement and Construction Agreement
  • Coordinating project development finance activities, including but not limited to: project budget, estimates, pro formas, project debt financings, project equity financing, confidential investment memorandums, membership interest purchase agreements
  • Assisting with project development procurement activities, including but not limited to: racking, modules, inverters, energy storage, switchgear and other key procurement relationships, negotiation and strategy
  • Bidding and managing outside environmental and engineering consultants
  • Reviewing, assessing and clarifying results of third party studies, and identifying risks or design constraints identified by Critical Issues Analysis, ESA Phase I, Environmental Assessment, wetlands delineations, geotechnical surveys, pull test surveys, ALTA/boundary/topo surveys, Threatened/Endangered Species, Cultural Resources, etc
  • Serving as point of contact with federal, state, tribal and local agencies, including but not limited to SHPO, DEQ, USACOE, Tribal Council, building inspectors, etc
  • Drafting and managing RFP responses
  • Performing due diligence of acquired projects
  • Assisting project team with other development tasks on an ad-hoc basis
  • Delivering presentations on specific topic areas of expertise when appropriate
  • Participating in project level strategic reviews
  • Drafting legal documents such as contracts, statements, agreements, change orders, exhibits, schedules, etc
  • Preparing, negotiating, and finalizing various project agreements including power purchase agreement, capital equipment supply and warranty agreements, construction agreements, interconnection agreements, engineering and consulting service agreements, operations and maintenance agreements, confidentiality agreements, filings and applications to various local, state, and federal agencies (including FERC), as well as confidential investment memoranda and membership interest purchase agreements
  • Drafting and/or reviewing transactional documents for renewable energy transactions (including but not limited to memoranda of understanding, letters of intent, acquisition agreements, engineering, procurement and construction agreements, and operation and maintenance agreements), and for general commercial matters
  • Creating and continuously improving the Company's template agreements
     

Required Competencies:

  • Proven legal experience with renewable energy development or project finance, with a preference for solar and energy storage projects
  • Proven experience as a legal counsel in business environment
  • Excellent knowledge and understanding of energy development law and procedures
  • Full comprehension of the influences of the external environment of a corporation
  • Demonstrated ability to create legal defensive or proactive strategies
  • High degree of professional ethics and integrity
  • Sound judgement and ability to analyse situations and information
  • Outstanding communication skills
  • BSc degree in Law or J.D. degree
  • MA or BSc in Business Administration will be considered an advantage
  • Ready to play a role in changing the world
