Position Summary:
LanzaTech is looking to grow our People Operations team with a Director of Total Rewards who will be responsible for the design, development, administration, and monitoring of executive and company compensation programs. Working in partnership with our Chief People Officer, you will develop and implement a Total Rewards philosophy. You will be working with key executives along with our Legal and Finance teams. - Provide consultation on executive compensation matters to senior executives and human resources.
- Oversee the preparation of materials and presentations for proxy disclosure/other required filings and for the Compensation Committee of the Board of Directors.
- Responsible for the preparation of job descriptions, job evaluation and salary surveys, and establishes salary structures.
- Develops compensation budgets, prepares policies and procedures to ensure the achievement of equitable and competitive employee compensation.
- Ensures programs are aligned with best market practices.
- Effectively communicates and leads consultation with key executives, Legal, Finance, and outside consulting firms as necessary to complete job responsibilities.
- Assists directly or engages/manages outside consultants with tax and other specialized matters related to compensation.
- Evaluates the market data and provides consultation on new hire offers, retention bonuses, and promotion recommendations.
Total Rewards Key Duties
In partnership with the Chief People Officer, develop and articulate a Total Rewards philosophy that is reviewed and renewed annually.
Drives the strategic development, design, implementation, communication, maintenance and compliance of all compensation programs to align with the company’s Total Rewards philosophy and business objectives.
Identifies, develops, and delivers strategic compensation programs that meet and anticipate the internal needs of the organization while monitoring external trends in the marketplace.
Leads the Total Rewards team manages performance and ensures the team is skilled and competent in delivery of HR services to the organization.
Responsible to manage and communicate all compensation programs, including the development/maintenance of base salary ranges and other compensation practices for the company’s various business units.
Analyses jobs, salaries, and incentives in order to evaluate internal equity, external competitiveness, and legal compliance of pay practices.
Plans, develops and/or participates in area and industry compensation surveys or special compensation studies, including market-based pricing, to ensure the company’s competitive position within the marketplace. Review and analyse findings, assess unique company needs and develop specific recommendations to management with respect to the compensation structure.
Directs the job evaluation process and maintenance of consistent and accurate job descriptions across the organization.
Prepare materials for meetings of the Compensation Committee of the Board throughout the year. Research and recommend agenda items for the Compensation Committee, including making recommendations to senior management and preparing meeting materials.
Manage executive compensation administration, including executive benchmarking, salary increases, short-term incentives, long-term incentives, key metric tracking, stockholder ownership guidelines, executive severance, and other executive policies.
Consult with HR Business Partners, Talent Acquisition team and Hiring Managers to create competitive offer packages for key strategic executive hires. Review and approve executive offer packages to ensure competitiveness and compliance with governance guidelines.
In collaboration with Legal, prepare executive compensation materials and documentation necessary for required filings, the annual proxy statement and annual shareholder meeting.
Partner with Finance on executive compensation budget, tax and accounting issues.
Participate in benchmarking forums, maintain executive compensation policies and procedures, and prepare compensation-related communications.
Establish, build, and maintain strong relationships with leaders and managers across the organization to ensure our compensation structure supports our strategic objectives.
Educate leaders, managers, and employees on the company’s Total Rewards philosophy.
Required Experience:
- Bachelor’s Degree in Business Administration/Human Resources or related field required, MBA or master’s degree preferred
- 10 years of experience designing, managing, and administering compensation programs; incentive compensation plan design experience required
- 5+ years of solid experience working in Executive Compensation
- Equity plan experience required
- Experience working with senior management, Boards and compensation committees required
- Global compensation experience preferred
- Desire to work in a fast-paced, constantly evolving environment; ability to work well under pressure and to manage multiple priorities
- Experience working within newly public company, start-up organization or companies with M&A activity.
