This attorney will be one of the primary contacts for disputes in the USA on a broad range of related issues with vendors and clients at various stages of litigation, including both pre-litigation and active lawsuits. This role reports to Senior Counsel.

This position will provide counsel for some or all of the following, depending on expertise. Other duties may be required but are not listed and specific responsibilities may change over time:
Help manage disputes and claims (pre-litigation) with clients and vendor, acting as the lead point of contact with delivery and business teams on any issues that arise with vendors or clients. As needed, engage outside counsel and coordinate and oversee the litigation.
Develop relationships with business stakeholders, team members, and other functional areas through an open and collaborative style.
Conduct interviews of witnesses, pre-claim investigation, legal research, and initial case assessments; provide assistance with case settlements.
Manage claims with insurance carriers and maximize insurance recovery when applicable.
Prepare and issue litigation hold notices when required.
Report and track on all matters being handled.
Other duties may include:
Structure, draft, and negotiate commercial agreements with vendors, including landlords, IT vendors, and others.
Advise on information security and data privacy legal requirements in vendor contracts.
Work closely with other lawyers in the USA and other regions as well as key functional partners, including compliance and risk management
Knowledge and Skills:
The position requires the following knowledge:
Provide legal guidance on dispute, understanding the various stages of litigation, types of claims and defenses available, and ability to advise on the same.
Protect HCL’s position, while demonstrating willingness to achieve win-win. Detect, address, and escalate lack of progress.
Understanding of various IT contracts, such a Master Service Agreements and Software licensing agreements, and ability to advise on termination provisions, indemnification obligations, and limitations of liability
Knowledge of practices regarding confidentiality and data security, and ensure proper protection of confidential information and information security.
Ability to establish and maintain healthy working relationships with clients, vendors, and colleagues
Communicates effectively to stakeholders regarding expectations of all parties.
Preferred to have working knowledge of LegalTracker matter-management software and Practical Law research tool.
Candidate must have a JD/law degree with law review or equivalent outstanding academic credentials from an ABA-accredited law school and be a member of a state bar or otherwise qualified to practice law as in-house counsel;
Minimum 4-7 years' experience as a lawyer;
Knowledge and experience with commercial litigations.
Some experience negotiating commercial contracts and specifically vendor contracts;
Excellent issue spotting, risk assessment and problem-solving skills
Strong written and verbal communication and interpersonal skills;
Excellent organizational skills and attention to detail;
Strong work ethic, fast-learner and self-starter, comfortable in a fast-paced environment;
Ability to execute transactions in a timely manner and be responsive to internal and external stakeholders.
