Job Description

This in-house Staff Paralegal position will serve as an integral part of a small in-house team. The Staff Paralegal will have regular direct contact with high-level corporate executives in the course of fulfilling accountabilities and also performing other corporate legal duties, as necessary. This is a corporate position and reports directly to the Vice President, Corporate Development in our Reston, VA headquarters office.

Role and Responsibilities:
  • Work with the Senior Management Team and outside legal counsel during all stages of corporate transactions
  • Draft corporate filings and related minutes, resolutions, waivers, approvals of action and similar documents.
  • Maintain corporate books, stock certificates, stock ledgers, etc.
  • Track and manage the execution and retention of legal documents and agreements
  • Maintain contract information for organizational purposes in accordance with organizational policy and procedures
  • Maintain communication regarding the status of contract negotiations and other actions with all stakeholders in accordance with organizational protocols and standards
  • Conduct legal research to provide guidance on contract compliance and legal/regulatory requirements
  • Conduct due diligence on third parties
  • Maintain legal team and contract management software
  • Working alongside the Senior Management and outside legal counsel, prepare, draft, review, and revise various types of documents and agreements necessary to further business activities, including:
  • Vendor (services) agreements, including HR-related agreements
  • Consulting and professional services agreements
  • Property agreements, including office leases and other leases
  • Confidentiality agreements
  • Letters of intent, term sheets, and memoranda of understanding
  • Collaboratively work with and respond timely to the needs of internal and external stakeholders in the areas of Business Development, Operations, Procurement, HR, Information Technology, Marketing, Software Development.
  • Support licensing team in successfully navigating licensing requirements and application processes
  • Develop a strong partnership with internal business teams
  • Work in a cost-effective manner with outside counsel as necessary
  • Investigate and work alongside the Senior Management and outside legal counsel toward the resolution of disputes/complaints in accordance with contractual requirements

Requirements:

  • Demonstrable interest or skill in understanding contract provisions and risk allocation with excellent analytical abilities
  • Strong capability with office technology - Microsoft Office 365 (Word, Excel, PowerPoint, Teams, etc.) and Adobe
  • Must be detailed oriented, passionate, intellectually curious, agile, and confident
  • Strong research, analytical, writing and communication skills
  • Practical, business-minded approach to solving legal issues
Qualifications and Education Requirements:

Minimum 3 years’ experience as a paralegal in a law firm or in-house corporate law department. Prefer Bachelor of Science (BS) or Bachelor of Arts (BA) or equivalency. Paralegal certificate from an ABA-approved educational program

IACCM or NCMA member. Preferred contract management certification (CPCM, CCCM or CCMA certifications acceptable)

Preferred Skills:

Clear English speech and enunciation; precision in all verbal and written communications; understanding and advanced proficiency in Teams, Zoom & MS-Office.

Employer background check and Assignment of Inventions and Non-Compete Agreement execution required. The Company uses E-Verify to determine the eligibility of employees to work in the United States.
