Leading professional organization seeks an in-house Counsel to provide advice and counsel with respect to the organization's Commercial Affairs particularly with respect to complex agreements. The position is fully remote with an hourly pay rate between $60 - $80, depending on experience.
Primary Duties:
The Counsel for Commercial Affairs will advise clients domestically and internationally on a wide range of matters, including structuring, negotiating and drafting a variety of general and specialized agreements necessary for the day-to-day operations of a cutting-edge global science and technology non-profit organization. Issues range from commercial legal advice to preservation of the non-profit status of the organization. The agreements include licensing, electronic publishing, IT, and consulting agreements, as well as related commercial agreements relevant to a dynamic business environment. This role functions as an intermediate individual contributor. Additional duties include the following:
Provides advice and counsel, negotiates, and drafts both domestic and international commercial, business and operational contracts
Uses and modifies standard forms and templates from a robust internal forms library in the marketing, publishing, education, technical conference and membership operations of the organization
Develops and incorporates the implementation of new technology solutions (such as, but not limited to, contract management systems)
Provides training on issues relating to commercial law, contract formation and other legal subjects
Provides general legal advice to various departments within the organization
Collaborates on additional legal projects of interest
Requirements
Bachelor's degree or equivalent experience Science/Technical undergraduate degree helpful but not required
Doctor of Jurisprudence from national law school
Member in good standing of a U.S. bar
7-10 years adept at providing commercial legal advice, contract drafting, negotiation and review experience
In-house corporate or law firm experience required
Ability to manage large volumes of commercial contract review with consistency, accuracy, and attention to detail
Able to advise on a wide variety of legal issues
Experience representing non-profit organizations a plus
Excellent drafting and negotiating skills, along with excellent business judgment and critical thinking skills
Exceptional attention to detail a must
Experience with technology contracts a plus
Effective communicator across all levels and the ability to diplomatically interact with other stakeholders to influence operational, policy and process goals
Articulate with leadership potential
Well-versed in commercial business practices, customary provisions, and key issues in a wide range of unique situations
Familiar with policies and practices of leading non-profit charities, as well as academic and research organizations
Experience advising clients, working directly with senior managers and suppliers
Proactive self-starter, with strong organizational skills and ability to prioritize multiple projects and business needs
Service-oriented legal counsel with excellent interpersonal skills and a keen interest and capability in collaborating with both legal and non-legal colleagues
Able to exercise discretion to identify, develop and execute processes and solutions to address highly complex problems in order to achieve goals and objectives of the organization
