General Counsel oversees and identifies the legal issues in all departments and their interrelation, including ratings, marketing, sales, compliance, information technologies, proxy, accounting and finance, and human resources, as well as corporate governance and business policy. General counsel performs roles encompassing crisis management, compliance reporting management and public policy advocacy. This position reports to the Chief Executive Officer and works closely with each of the other officers and the Board. Competitive salary offered.

In summary, as a new role for the client, the General Counsel:

  • Reports to the Chief Executive Officer;
  • Provide legal advice to the board and the managements;
  • Manage Board, run Board meetings, prepare minutes and serve record secretary;
  • Provides legal support, selectively in liaison with the external counsel, to resolve matters in the following areas:
    • Corporate legal matters;
    • Compliance and regulatory law associated with an NRSRO;
    • Securities law;
    • Other related legal matters.


Consistent with the aforementioned legal areas, the General Counsel:

  • Establishes solid legal skills in financial business;
  • Understands EJR business, formulates legal strategies to guide business operations;
  • Identifies operational and compliance risk areas, manages and minimizes the risk, and provides the legal guidance to the Firm;
  • Oversees Firm’s operational change in areas, including: M&A, new entities, new offices, etc.;
  • Implements employment and labor law best practices;
  • Manages NDA, contracts and vendor management including oversight of the budget, expenses, office leases;
  • Represents the Firm with the legal inquiries (subpoena, etc.), allegations, arbitration, trials, etc.;
  • Obtains competency in SEC 17g, 15E, and other applicable rules;
  • Supports the Firm’s compliance and internal control;
  • Determines securities type for the rated instruments, such as Sovereign/municipal/ABS types that the Firm plans to rate (feasibility analysis);
  • Addresses and represents the Firm with regulatory and compliance related matters, prepares SEC on-site exams, responds to SEC exam findings and recommendations, etc.;
  • Facilitates new designations, such as: new licenses, new continentals;
  • May support the Firm’s Public Relation function and Firm press releases, as appropriate;
  • Presents Firm to the Board, may serve as record secretary;
  • Other tasks assigned by the CEO and senior management.


The candidate will possess the following experiences and attributes:

  • A minimum of + 15 years legal in the financial industry sector;
  • Excellent written and verbal communication skills;
  • Experience in credit ratings is a plus;
  • Proactive and strategic;
  • Sound understanding of business; good judgement and integrity.
