The Associate Vice President & Compliance Officer will serve as a leader and catalyst in the identification and mitigation of risk. This position will plan and execute on the activities required for the creation, implementation, and evolution of a business-enabling and global compliance program across the ETS enterprise. They will work with the GCO, local counsel, and legal partners to assess applicable legal and policy requirements; develop corporate compliance policies, roll out effective training initiatives, direct investigations and remediations, due diligence and other controls; promote sound compliance, and cultivate a culture of ethics throughout ETS's domestic and international businesses. This is a critical position that works closely and cross functionally with operating units across ETS to lead and support compliance initiatives, and to raise the level of awareness of legal requirements and compliance within the organization. The Associate Vice President & Compliance Officer is also responsible for oversight of ETS's Ethics Hotline and compliance investigations. The role will report to the General Counsel.

Responsibilities:

  • Develop and conduct compliance risk and program assessments to identify, track, and report on legal and compliance risks and appropriate enhancements to the program.
  • Ensure compliance program is integrated into the culture and business operations through effective engagement, training, and monitoring.
  • Provide strategic compliance advice to the business to ensure compliance with applicable laws and company policies.
  • Manage the third-party due diligence program in collaboration with the supplier management functions.
  • Manage periodic revisions to the ETS Code of Ethics and compliance policies, standards and procedures, and manage attestations to the Code and policies.
  • Oversee the Corporate Compliance training and communications program, develop compliance training curriculum and conduct targeted training to specific groups.
  • Oversee the Ethics Hotline and the investigation and resolution of suspected misconduct.
  • Develop and prepare meaningful reporting, data analytics, and tracking of compliance activities to enable effective communication to senior management and the Board of Directors.
  • Lead ongoing development of the Program and proactively enhance standards and procedures.
  • Review strategies and operational plans for compliance risks and partner with the business to effectively balance the achievement of critical objectives with compliance risk.
  • Remain abreast and keep current of emerging legal, compliance and regulatory developments, issues, and trends and ensure ETS remains ahead of the curve on addressing stakeholder needs in these areas
  • Serve as an attorney within the Office of the General Counsel, providing legal support and trusted counsel to all levels of management over a range of legal issues that may arise throughout the company, including business development, intellectual property, privacy, international transactions.
  • Recruit and supervise a Compliance Manager.
  • Meet annually with the Board of Trustees Audit Committee.
  • Manage ad hoc compliance projects as assigned; and adhere to ethical standards and comply with the laws and regulations applicable to your job function
