Headquartered in San Francisco, with offices in North Carolina, Salt Lake City, Dallas, Mexico City, Tokyo, and Seoul. The Company has developed and completed over 80 projects in the U.S. and internationally. Ecoplexus continues to grow at a rapid rate and expects to complete approximately $500 million of projects over the next two years.
We are seeking a talented self-starter, who is highly-motivated and capable of assuming increasing responsibility in a dynamic growth environment. This position will work out of either the San Francisco, Salt Lake City, or Durham office and report to the corporate counsel.
Support financing activities, including:
Draft resolutions, certificates and other transactional support documentation
Coordinate responses to due diligence queries from financing counterparties
Maintain internal document repository with updated agreements
Managing deliverables and correspondence with third-parties
Order certified copies of corporate documents and good standing certificates
A variety of ad-hoc responsibilities to ensure the successful and timely financing of projects
Support corporate governance activities, including:
Prepare and file organization/formation documents for new company subsidiaries
Maintain organizational entity charts, updating for acquisitions and new entity formation
File for employer identification numbers from the IRS
Prepare and file foreign qualification applications
Manage execution process and upload executed agreements to company database
Maintain corporate minute books, annual meeting notes, preparation of corporate resolutions
Maintain company database of contracts and other database activities
Support acquisition activities, including:
Review and preparation of Non Disclosure Agreements
Prepare purchase agreement schedules
Perform corporate diligence activities on acquisition targets
Order lien searches on counterparty and acquisition targets
Prepare redlines of transaction document changes

You will learn about the development, financing, construction, and management of solar power and energy storage projects from the ground up.
5+ years relative experience in corporate governance, finance, real estate or other transactional support role
Prior experience in a law firm or in-house legal department
Ability to work independently and with minimal supervision
Strong organizational and communication skills
Desire to take on responsibility
Experience working in MS Office Suite (Office, Excel, and PowerPoint), Adobe Acrobat Pro and Google Cloud Applications (Google Docs, Sheets, Presentations)
Experience in the energy or renewable industry a plus
Paralegal certificate preferred
The ideal candidate will have a strong eye for detail and should be comfortable working in a fast-paced, dynamic environment interacting regularly with the Company’s senior management.
