Sr Legal Counsel

VentureTech Solutions, based in Plantation, FL provides IT, Accounting and HR support for a number of Financial Service and Real Estate Companies. We have an immediate need for a Sr Legal Counsel to support our operations. 

This position is IN OFFICE and requires an active Florida Bar certification. 

Ideal candidates will have 4-6 years of in-depth corporate, real estate, and litigation experience, preferably at a major law firm and/or in-house legal department. He or she will be detail-oriented and highly organized and will have experience with vendor agreements, service agreements, software agreements, research agreements, real estate leases, MOUs/LOIs, and general corporate governance matters. Given that we’re a small, entrepreneurial organization, the successful candidate will also need to assist as needed on other assorted legal matters such as labor & employment and intellectual property spaces.

The Sr Legal Counsel reports to the CEO/CFO.

Key Responsibilities

• Spearhead and implement corporate and litigation strategy. This includes developing the contract management process, identifying risk, and pinpointing non-negotiable concerns.
• Provide thought leadership while working with minimum supervision in a fast-paced environment requiring superior prioritization skills.
• Negotiate and execute contracts in a timely manner, balancing the need to minimize unnecessary risk while responding to its need to innovate and move at an efficient pace.
• Possess, maintain, and grow an extensive understanding of common law contracts, secured transactions, data privacy.
• Demonstrate an ability to explain complex legal concepts and positions to internal and external stakeholders, many of whom are non-lawyers.
• Provide counseling advice to Directors regarding risk and contractual agreements.
• Develop relationships with external counsel who may also provide contract support and bring best practices to the organization.
• Stay current on relevant laws and regulations and be a subject matter expert.
• Draft, review and have a part in negotiating leases and related real estate documents for the portfolio, including leases, ancillary lease documents, brokerage agreements, vendor contracts and license agreements.
• Review and analyze legal document provisions and provide creative and strategic counseling to leasing, development and asset management teams tied to deal strategy and structure. Prepare legal notices and correspondence related to lease transactions.

Requirements/Qualifications

Florida bar admission. Candidate should have a strong academic background and must have demonstrated skill in retail lease transactions, landlord/tenant negotiations and a solid understanding of the commercial real estate business. Strong drafting and negotiating skills are a must. Experience with corporate work related to commercial real estate transactions, such as joint venture agreements, business formations and governance is a plus, but not required. Candidate must have effective interpersonal and communication skills, ability to adapt to changing demands in a fast-paced work environment, attention to detail and follow-up, and pragmatic and effective problem-solving skills. Candidate must have a minimum of 3 years of corporate experience.
