Job Description

Position Overview:

Reporting directly to the Chief Administrative Officer, the Senior Paralegal will be the primary point of contact for all legal matters, including Business Compliance, IP Protection, and Contract management.  The position will actively manage the primary duties within these areas, ensuring successful review, oversight, disposition, and/or execution of all items as matters arise within the legal arena.  The position is also responsible for all contract and contract-related drafting, analyzing, or revising, and facilitating contract processing between business units and external parties (including other external legal teams); as well as overseeing department systems and processes, ensuring the pro-active tracking and oversight of all legal matters, documents, systems, billing or any other related items.


Essential Duties & Responsibilities: 

  • Oversees, identifies, and provides pro-active solutions in the area of company legal compliance items (Data Privacy, Anti-Bribery, Trade compliance, and IP Protection).
  • Handles all phases of the contract process, including administrative tasks for corporate matters, from inception to conclusion, including but not limited to drafting, editing, reviewing, assisting with negotiations, executing, retaining, and tracking all CNC contracts.
  • Oversees and administers physical or online systems, including file management systems and tracking.
  • Review, research, implement and execute processes, workflows, or tools to improve department efficiency, including within contracts review, management, retention, data management, and record retention policies.
  • Point person for the company’s records retention process.  Reviews, defines, and communicates expectations of said requirements to management, ensuring compliance with established record retention policies.
  • Liaison to external contacts or legal counsel for contract renewal and revision, drives the process to finalization and gains needed approvals/signatures.
  • Responsible for understanding the law.  Uses practical knowledge of the law and legal concepts to surface potential legal issues and escalates them appropriately to internal executives or outside counsel.
  • Performs legal research and other online research, as needed, to provide background and primary information for legal issues surfaced.
  • Point person for copyright and trademark work. Ensures timely filing and management of all copyright registrations and trademarks for CNC Software and Mastercam.
  • Investigates business issues related to assigned matters and collaborates with executive leadership to determine legal implications and the appropriate course of action.
  • Organizes facts, establishes legal theories, and determines applicable foundational terms pertaining to legal matters, drafting the appropriate documents to ensure matters are accurately, clearly, and thoroughly stated.
  • Perform other paralegal duties and special projects as assigned.


Minimum Requirements & Qualifications:

  • 10+ years’ experience as a paralegal, preferably in a corporate legal department, with a minimum of 5-7 years’ experience reviewing, creating, and executing contracts, preferably in a corporate setting.
  • Transactional and drafting experience is critical to the success of this position.
  • Bachelor’s Degree from an accredited four-year college or university and a paralegal or equivalent certificate (or an alternative advanced degree and certification).
  • Excellent attention to detail, organization skills, reading comprehension skills, and experience reviewing and proofreading own and others’ work.
  • Demonstrated adaptability and flexibility to succeed in a fast-paced, ever-changing environment, coupled with the ability to work independently with minimal guidance.  
  • An unflappable approach and a calm outward demeanor with the ability to positively relate to all levels, both within the organization and with our external customers.
  • Excellent communication skills, written and verbal, with the ability to provide accurate and timely information in a succinct and easy to understand manner.
  • Proven time management skills and a track record of success working in a team environment successfully supporting others.
  • Advanced Microsoft Office (Word, Excel, and PowerPoint) and document management (DocuSign, Adobe, etc.) skills.
  • CT certified notary required (can be obtained shortly after employment).
