WGL - Associate General Counsel, Benefits

Are you ready for a new challenge? We have an exciting opportunity to join our Legal team as our Associate General Counsel!

Serves as the subject matter legal expert for large, complex employee benefit plans, including non-qualified plans, Defined Benefit Plans, Defined Contribution Plans, and Health and Welfare Plans. The position performs legal research and writing and provides guidance and recommendations to Senior Leaders, Benefits Committee and HR on all matters relating to sponsoring and administering plan(s), with particular emphasis on tax and compliance matters, particularly DB and DC 401(k). Substantive areas of work may include participant disclosure, government reporting, plan accounting, plan documentation, benefits industry litigation and disputes, claims and appeals, contracts and procurements, statutory and regulatory compliance, and privacy and security.

You Will:

• Serves as legal advisor to teams responsible for administering employee benefit plans. Collaborates with attorneys and other compliance and benefits team personnel on legal and compliance tax and risk issues.

• Provides subject matter expert review and analysis on variety of ERISA plan matters, including, but not limited to, eligibility and plan management.

• Provides counsel on new benefit plan designs and implementation.

• Provides counsel on ERISA regulatory compliance.

• Provides counsel in connection with corporate transactions/due diligence issues that arise that present benefit plan implications.

• Prepares legal summaries of ERISA, DOL and IRS statutes and regulations.

• Provides ongoing health and welfare benefit plan counseling and qualified and non-qualified retirement plan counseling.

• Drafts plan amendments.

• Negotiates and drafts benefit plan vendor contracts.

• Works with external ERISA litigation counsel to advise and manage ERISA litigation.

• Provides support to in-house executive compensation team with respect to executive compensation counseling, including counseling on incentive plan designs and amendments, equity award agreements, cash bonus awards, compensation committee resolutions and review of committee materials, and counseling on 409A and multi-jurisdictional requirements in connection with executive compensation and plan awards.

• Reviews, prepares, researches, and writes any required communication concerning claims relating to the plans.

• Reviews, prepares, and researches government reporting documents and participant disclosures.

• Manages enterprise-wide Qualified Domestic Relations Orders (QRDRO) and powers of attorney.

• Stays current on legislative developments in the employee benefits space and provides necessary policy changes and conducts training as necessary.

• Performs other duties as assigned.

You Have:

• Juris Doctor degree from accredited institution.

• Minimum of eight (8) years of experience as attorney practicing in the areas of employee benefits, ERISA, and executive compensation, preferably in both in-house and private practice environments.

• Experience supporting the ERISA and generalist employee benefits legal needs of publicly traded organizations.

• Strong organizational skills with demonstrated ability to manage multiple tasks.

• Excellent client relation skills.

• Ability to work effectively and efficiently across a matrixed organization.

• Excellent communication skills (both written and verbal).

• Admission in good standing in at least one state bar, preferably Virginia, with the ability to secure Virginia in-house Corporate Counsel designation.

• Subject matter expertise knowledge of ERISA, IRS and DOL regulations and laws related to federally regulated employee benefit plans.

• Ability to create and maintain strong client relationships and rapport, ensuring excellent collaboration and communication across the organization.

• Ability to manage competing deadlines and multiple projects at various stages of development using effective organization skills and attention to detail.

• Ability to communicate effectively, both verbally, in writing, and via presentations with a diverse membership, employees and/or vendors in a clear and precise manner.

• Ability to work independently as well as within a team environment.
