Corporate Secretary

The Corporate Secretary reports to the CEO and provides project management and administrative support to the Board of Directors, Board groups, and Executive Team.

The Corporate Secretary manages board activities and processes to maximize Board.
Support CEO in the care and management of the Board
Conduct research, assemble, and analyze data to prepare reports and documents, including a Board Book for meetings
Serve as primary contact for Board and Board groups, such as the Board of Advisors and Board Committees
Serve as staff liaison to the Governance Committee
Support CEO and Senior Staff in scheduling, communications, and other duties
Direct implementation of governance programs, plans, schedules, and budgets
Maintain annual governance schedule for Board and Board groups
Lead all aspects of meeting planning, preparation, and information distribution
Maintain governance documents including but not limited to meeting minutes
Maintain the Association Policy Manual
Maintain Board Effect portal
Manage and execute governance election and appointment processes
Prepare Governance budget
As Corporate Secretary, attend Board of Director meetings three to four times per year

Qualifications & Requirements:
Experience working with Boards of Directors, managing Board relations and communicating with Board Directors at all levels
Experience adapting communication style to ensure messages are heard
Bachelor's degree preferred
At least 6 years of association management experience specifically focused on governance preferred
Technically competency: strong experience with Microsoft Office (Outlook, Word, Excel, and PowerPoint), customer databases, and Board portals (Board Effect preferred)
Experience with online meeting and web conferencing technology
Project management skills, including the ability to work independently or lead projects requiring collaboration with other departments/staff
