Position Overview
We are hiring a new attorney to fill the position of Counsel to work as an integral part of the legal team providing support to the FUJIFILM North America Corporation, Imaging Division business. The ideal candidate will be an experienced commercial transactions lawyer with specific expertise in direct-to-consumer sales and ecommerce transactions, responsible for working independently and collaboratively on legal issues affecting the FUJIFILM North America Corporation's Imaging Division to minimize risks of legal liability and ensure maximum legal rights of the company. This attorney will also be a dependable legal resource and valued member of the FUJIFILM Holdings America Corporation Legal Department.
Must be willing to work east coast time zone.

Job Description
Responsibilities
  • Support day-to-day legal affairs of FUJIFILM North America Corporation, Imaging Division reporting to and working in close collaboration with lead Senior Counsel, subject matter experts, and outside counsel under the general supervision and direction of Senior Counsel, reporting to Division General Counsel, Business Innovation and Imaging, and as a core member of the FUJIFILM Holdings America Corporation in-house legal team..
  • Provide legal advice and guidance to business partners with respect to a variety of matters, including, but not limited to, B2B (business to business) and B2R (business to retail) commercial contracts, support of D2C (direct to consumer) consumer product marketing and sales, including, but not limited to, development of terms and policies for online and in-store consumer experiences, advertising and marketing review, promotions and sweepstakes, equipment sales, service and consumable supply, product fulfillment services, software development and licensing matters, including utilization of AI technology, trade compliance (e.g., antitrust, import/ export regulations), product compliance and consumer product packaging review, customer service inquiries and complaints, investigative matters, and other legal matters, as assigned.
  • Draft, review and support negotiation of a variety of complex commercial contracts, including with key customers, vendors, and suppliers. Work with internal colleagues and outside counsel, when necessary, to handle a large volume of contracts to ensure agreements mitigate legal risk and support business objectives.
  • Support legal reviews of marketing and advertising matters, product packaging, licensing agreements, and promotional programs. When necessary, collaborate with regional/global stakeholders on comparable requirements in other jurisdictions.
  • Support policy review and administration of FUJIFILM North America Corporation, Imaging Division Unilateral Minimum Advertised Price (MAP) Policy and related MAP Administration Program, as assigned by Division General Counsel.
  • Collaborate with subject matter experts and Compliance to support training for Imaging Division on company policy, substantive legal topics, or other Legal Department initiatives relevant to the business.
  • Contribute to, and help drive, the Legal Department's commitment to continuous operational improvement and achievement of efficiency, consistency, and alignment of contracting practices and best-in-class contract terms across the Legal Department and the FUJIFILM Holdings America Corporation organization to support the evolving needs and business growth and expansion of FUJIFILM Holdings America Corporation companies.
  • Perform other duties, as assigned.

Required Skills/Education
  • Juris Doctor from an American Bar Association accredited law school. Academic honors preferred.
  • Admitted to practice law and in good standing under the Bar of at least one U.S. state.
  • Minimum 6+ years of relevant legal experience; in-house legal department experience with a large multinational corporation a plus.
  • Solid commercial contracts background with substantive drafting and negotiation experience in fast-paced business environment.
  • Solid ecommerce and direct to consumer legal experience.
  • Strong work ethic and ability to timely, effectively and autonomously manage multiple complex projects on time.
  • Strong ability to work as part of an in-house team, and to collaborate with internal and external stakeholders to drive contracts and other legal projects to completion.
  • Quickly grasps organizational objectives and applies them to B2B, B2R or D2C contracts or other work product in a way that is succinct and practical.
  • Skill in providing strategic legal counsel in a complex business environment.
  • Excellent, clear and concise writing skills, including business communications with senior leadership.
  • Adept at partnering across business divisions, functions, and geography, with a skill for engaging resources at all levels in projects and processes while continuing to own and drive them.
  • Ability to project manage multiple tasks, including those assigned to contract managers or non-attorney administrative staff to promptly complete requested tasks.
  • Ability to use, or quickly acquire skills necessary for using, legal technology platforms (Pramata) and applications such as Microsoft Office and Microsoft Teams.
  • Must be willing to travel periodically for business purposes, with approximately 10% travel required. Additional travel may be necessary as needed.
  • Must be willing to work East Coast time zone.
