Regulatory Counsel, Vice President

At MUFG, we share a vision for our future, we share our successes, and we strive to bring out the best in each other in everything we do.  MUFG is seeking a highly skilled and motivated attorney to join our dynamic legal team.  The ideal candidate will have 4+ years of experience in advising financial institutions on banking and financial market laws and regulations.  This role requires excellent analytical skills, an understanding of regulatory frameworks, and the ability to navigate complex legal environments.  This attorney will be a member of MUFG’s Regulatory Legal team, a unit within MUFG’s Americas Legal Department, which provides support to MUFG’s U.S. operations and global business lines on a broad range of bank and other regulatory and supervisory matters. Key Responsibilities

  • Advising MUFG business lines and support functions on legislative, regulatory, and supervisory matters, including application of, and compliance with, U.S. banking laws applicable to foreign banks operating in the U.S., as well as applicable laws and regulations of financial markets.
  • Analyze and research complex legal issues and translate such research and analysis into practical and effective advice to firm officers, including executives, senior management, lines of business partners and relevant stakeholders in the U.S. and globally.
  • Work in close coordination with stakeholders, including legal colleagues, government affairs, internal subject matter experts and strategic partners (e.g., trade associations, NGOs, law firms) in support of advocacy on relevant policy matters impacting MUFG’s operations, regulation and strategic corporate objectives.
  • Assist with the development and roll-out of new financial products.
  • Collaborate with cross-functional teams to identify and mitigate legal, regulatory, and supervisory risks.
  • Monitor relevant federal and state legislative and regulatory proposals and initiatives applicable to MUFG Group and MUFG Americas, including those impacting the prudential regulation and operations of financial institutions.
  • Advise on governance matters for banking organizations.
  • Assist with internal audit and supervisory examinations.

Qualifications

  • Juris Doctor (J.D.) from an accredited law school
  • Admitted to practice law in New York, Washington, D.C., or California
  • 4+ years of in-house, law firm or regulatory agency experience, advising on banking, securities, and/or financial markets regulation
  • Strong analytical and problem-solving skills
  • Excellent written and verbal communication abilities
  • Proven ability to manage multiple tasks and prioritize effectively
  • Experience in fast-paced, high-pressure environment
  • Strong interpersonal skill and ability to work collaboratively with various stakeholders

Preferred Skills

  • Working knowledge of specific statutes and regulations:
    • International Banking Act
    • Bank Holding Company Act, and Federal Reserve regulations, including Regulations K, W, Y, YY, and the Volcker Rule
    • National Bank Act, and OCC regulations
    • Dodd-Frank Act, including Title VII derivatives regulations, and Enhanced Prudential Standards.
  • Basic knowledge of key securities regulations and of key aspects of the Investment Company Act and the Investment Adviser’s Act is valued.
  • Working expertise in advising on, or assisting with
    • Regulatory compliance controls
    • Regulatory reporting
    • Treasury matters, including liquidity standards, portfolio investments, and the discount window
    • Resolution planning
    • New product development and implementation
    • Internal audits and supervisory exams
    • Governance frameworks and legal entity structures

The typical base pay range for this role is between $172K - $222K depending on job-related knowledge, skills, experience and location. This role may also be eligible for certain discretionary performance-based bonus and/or incentive compensation.
