SUMMARY OF THE ROLEย 

The Assistant General Counsel, Compliance is responsible for leading the Company's enterprise-wide compliance and ethics framework, ensuring adherence to applicable laws, regulations, and internal governance standards. This role serves as a strategic advisor to senior leadership, oversees compliance risk management, and drives a culture of integrity across all business operations.
KEY RESPONSIBILITIES
  • Lead the design, implementation, and ongoing enhancement of the Company's compliance and ethics program, including policies, standards, and procedures aligned with U.S. federal, state, and industryspecific regulations.
  • Advise the General Counsel, executive leadership, and business stakeholders on compliance risks, regulatory developments, and mitigation strategies.
  • Oversee and continuously improve the Company's compliance framework, including risk assessments, monitoring activities, and corrective action plans.
  • Stay updated on regulatory and enforcement developments and ensure timely updates to compliance programs and internal guidance.
  • Monitor compliance metrics and monitor organizational activities for potential beaches.
  • Lead or supervise internal investigations related to compliance, ethics, and regulatory matters, including remediation and reporting.
  • Manage responses to regulatory inquiries, audits, and examinations.
  • Oversee enterprise compliance training and awareness programs for employees, leadership, and contractors.
  • Establish compliance reporting metrics and present regular updates to the General Counsel and executive leadership.
  • Support corporate governance initiatives and promote ethical decisionmaking across the organization.
QUALIFICATIONS & EXPERIENCE
  • Juris Doctor (JD) from an accredited law school and active license to practice law in the United States.
  • 7-10+ years of progressive experience in compliance, regulatory, ethics, or risk management roles, preferably within energy, infrastructure, or other highly regulated industries.
  • Demonstrated experience designing, implementing, and overseeing enterprise compliance programs, including areas such as anticorruption, ethics, regulatory compliance, and internal controls.
  • Professional certifications such as Certified Compliance & Ethics Professional (CCEP) are recommended.
  • Strong knowledge of U.S. federal and state regulatory frameworks; international or multinational compliance experience preferred.
  • Proven ability to operate as a strategic legal advisor to senior and executive leadership.
  • Excellent judgment, discretion, and integrity when handling sensitive and highrisk matters.
  • Exceptional written and verbal communication skills, with the ability to translate complex legal issues into clear, executiveready guidance.
Work Environmentย 
This position operates in a professional office environment with occasional work within or outside of a complex construction environment. This role routinely uses standard office equipment such as computers, phones, photocopiers/fax, filing cabinets, etc.This is primarily a sedentary role; however, the incumbent must be able to stand and/or sit continuously to perform all essential job functions for a full shift.ย
